1. Who We Are

Odd Theory Labs ("OTL", "we", "us", "our") is the trade name of a proprietorship owned by Mona Dinesh Verma (GSTIN 24ADWPV1473B1ZB), registered at 2/23 Rameshwar Apartment, GHB, Sola Road, Naranpura, Ahmedabad, Gujarat 380063, India. It is a growth systems studio based in Ahmedabad, Gujarat, India, providing marketing, creative, digital, technology, and execution services to businesses and institutions. These Terms and Conditions govern any engagement, proposal, quotation, or service delivered by Odd Theory Labs, whether under this name or client-facing brand names we operate (including Oplier and other product names).

The exact scope, deliverables, timeline, and pricing for any engagement are defined in a separate written proposal, quotation, or service agreement shared with the client before work begins. Where anything in a signed proposal conflicts with these general Terms, the signed proposal governs.

3. Engagement and Payment

Projects begin upon written confirmation (email, signed proposal, or invoice acceptance) and, where applicable, payment of the agreed advance. Payment schedules, milestones, and due dates are specified per project. Delayed payment may result in paused work or delayed delivery. Ad spend, licensing fees, third-party software costs, and government/verification fees are passed through separately from our service fee unless stated otherwise.

How you can pay. Invoices can be paid by bank transfer, UPI, or online by card, netbanking, UPI and wallets through our payment partner Razorpay. We do not see or store your card details; they are handled by Razorpay on its secure, PCI-DSS compliant pages.

Currency and taxes. Clients in India are invoiced in Indian Rupees (INR) with GST as applicable. Clients outside India are invoiced in US Dollars (USD), or in INR if they prefer, and the amount shown on the invoice is the amount charged. Your bank or card issuer may apply its own currency-conversion or international transaction fees, which are outside our control. Services to clients outside India are treated as exports under Indian GST law; any taxes or duties due in your own country are your responsibility.

Receipts. Every payment is confirmed by email with an invoice or receipt carrying our GSTIN.

4. Client Responsibilities

Clients are responsible for providing timely feedback, approvals, brand assets, access credentials, and accurate information needed to deliver the engaged services. Delays caused by the client extend project timelines proportionally.

5. Intellectual Property

Unless otherwise agreed in writing, final deliverables (designs, code, content, campaigns) become the client's property upon full payment. Odd Theory Labs retains the right to showcase completed work in its portfolio, case studies, and marketing materials unless the client requests confidentiality in writing.

6. Performance and Results

For performance marketing, advertising, and campaign services, results depend on multiple external factors (market conditions, platform algorithms, client-side execution, budget) that are outside our direct control. We do not guarantee specific outcomes (leads, sales, rankings, followers) unless explicitly stated in a signed agreement with defined performance clauses.

7. Confidentiality

Both parties agree to keep confidential business information, strategy documents, and non-public data shared during the engagement private, and not disclose it to third parties without written consent.

8. Limitation of Liability

Odd Theory Labs' liability for any claim arising from a project is limited to the amount paid by the client for that specific engagement. We are not liable for indirect, incidental, or consequential damages, including loss of profit or business opportunity.

9. Termination

Either party may terminate an ongoing engagement with written notice as specified in the project agreement. Fees for work completed up to the termination date remain payable. See our Cancellation and Refund Policy for details.

10. Governing Law

These Terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat.
